1. Definitions and Interpretation
In these Terms and Conditions ("Terms"): "Platform" means the Popcorn Social website, mobile applications, and any related digital services. "Popcorn Social", "we", "us", "our" means the operator of the Platform. "User", "you", "your" means any person accessing or using the Platform. "Merchant" means any third-party restaurant, venue, attraction, organizer, or service provider listed on the Platform. "Services" means any discovery, booking, ordering, gifting, loyalty, or related functionality made available via the Platform. Headings are for convenience only and do not affect interpretation.
2. Acceptance of Terms
By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
3. Platform Status and Scope
Popcorn Social operates solely as a technology platform and intermediary. We do not own, operate, manage, or control any Merchant. We do not provide food, drink, events, attractions, or experiences. Any contract for goods or services is formed directly between you and the relevant Merchant.
4. Eligibility
You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Platform. By using the Platform, you warrant that you meet this requirement.
5. Use of the Platform
You agree to: Provide accurate and current information. Use the Platform only for lawful purposes. Not misuse, disrupt, reverse engineer, or interfere with the Platform. We reserve the right to suspend or restrict access where misuse is suspected.
6. Bookings, Orders, Offers and Availability
All availability, pricing, discounts, and offers are determined by Merchants. Offers may be limited, withdrawn, or changed at any time. Popcorn Social makes no warranty that any booking, order, or offer will be available, honoured, or suitable.
7. Payments
Where payments are enabled: Payments are processed via third-party payment service providers. Popcorn Social does not store full payment card details. Any payment dispute must be raised in accordance with Merchant and payment provider terms.
8. Cancellations, Refunds and No-Shows
Cancellation, refund, amendment, and no-show policies are set by Merchants. Popcorn Social has no obligation to issue refunds unless required by law. We accept no liability for losses arising from cancellations, amendments, or Merchant refusal.
9. Loyalty, Credits, Gifts and Promotions
Loyalty points, credits, vouchers, and gifts have no cash value unless expressly stated. They may expire, be amended, suspended, or withdrawn at any time. Popcorn Social accepts no responsibility for Merchant insolvency, closure, or refusal to honour rewards.
10. User Content and Reviews
Reviews and content reflect personal opinions of Users. We do not verify accuracy or completeness. We reserve the right to remove content at our discretion without notice.
11. Service Availability
The Platform is provided "as is" and "as available". We do not guarantee uninterrupted, error-free, or secure operation.
12. Limitation of Liability
To the maximum extent permitted by law: Popcorn Social excludes all liability for indirect, consequential, or economic losses. Our total aggregate liability shall not exceed the total amount paid by you via the Platform in the preceding 12 months. Nothing in these Terms excludes liability that cannot be excluded under UK law.
13. Indemnity
You agree to indemnify and hold harmless Popcorn Social against all claims, losses, and liabilities arising from: Your use of the Platform; or Your breach of these Terms.
14. Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, where reasonably necessary.
15. Changes to the Terms
We may amend these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
